Abstract:
The Proxy Advisory Committee of the University of Virginia must recommend to the Finance Committee of the University's Board of Visitors how it should respond to a shareholder resolution requesting Perkin-Elmer to terminate its operations in South Africa. This is the third time shareholders have questioned Perkin-Elmer's South African connections. The case raises the broader issues of management's response to shareholders, shareholder responsibility, and the university as investor, as well as the specific question of investing in companies that do business in South Africa.
